Terms and Conditions

1. Agreement & Master Services Overview

These Terms of Service ("Terms", "Agreement") constitute a legally binding contract between Mantra Tech Fusion ("Company", "We", "Us", or "Our"), having its registered office at No 26, Indira Colony, Model Town, Panipat, Haryana 132103, India, and the client ("Client", "You", or "Your") engaging Us for Information Technology (IT) services, including but not limited to Custom Web Development, Website Designing, Mobile App Development, Digital Marketing, SEO, AI & Automation Software, and Cloud Solutions.

2. Scope of Work & Project Milestones

All services are executed according to a mutually approved Statement of Work (SOW), Proposal, or Project Specification document. Any modification, addition, or feature request not explicitly outlined in the agreed SOW shall be deemed an "Out-of-Scope Change Request" and will be quoted separately based on standard hourly or milestone rates.

3. Client Responsibilities & Cooperation

To ensure timely project delivery, the Client agrees to:

• Provide all required text content, images, brand assets, server credentials, and API access within the agreed onboarding timeline.
• Designate a primary point of contact for timely milestone review, feedback, and formal sign-offs (within 5 business days of submission).
• Ensure that all materials, media, and data provided to Us do not infringe upon any third-party intellectual property rights.

4. Intellectual Property (IP) & Source Code Ownership

Full Client Ownership upon Final Settlement: Upon receipt of 100% full and final payment for the project, all rights, title, interest, and intellectual property in the custom source code, design mockups, databases, and bespoke deliverables created specifically for the Client shall be permanently transferred to the Client.

Company Retained Frameworks: The Company retains perpetual ownership of pre-existing core libraries, generic utility algorithms, reusable boilerplates, and open-source components incorporated into the solution under standard permissive licenses (MIT, Apache, GPL).

5. Payment Terms, Milestone Releases & Late Invoicing

• Projects follow a structured milestone schedule (e.g., 50% initial deposit, 30% upon beta/staging demo, 20% upon final deployment and source code handover).
• Invoices are due within 7 business days from the date of issue.
• Invoices overdue by more than 15 calendar days may result in temporary suspension of development or staging access until the balance is cleared.

6. Revisions & Acceptance Criteria

Each milestone includes up to 2 complimentary rounds of design and layout revisions within the defined scope. Extensive structural rework requested after milestone sign-off shall be treated as an additional change request.

7. Confidentiality & Non-Disclosure

Both parties agree to hold in strict confidence all proprietary business data, trade secrets, project logic, and source code shared during the course of engagement. A formal bilateral Non-Disclosure Agreement (NDA) can be executed upon request prior to project initiation.

8. Limitation of Liability & Warranty

We provide a 30 Days complimentary bug-fixing warranty post live deployment to resolve any coding defects in the original scope. In no event shall Mantra Tech Fusion be liable for indirect, incidental, punitive, or consequential damages resulting from third-party server downtime, cyberattacks on client servers, or unauthorized alterations by third-party developers.

9. Termination of Agreement

Either party may terminate the engagement by providing a 14 Days written notice via email. Upon termination, the Client shall be liable to pay for all work completed up to the termination date, and the Company shall deliver all completed assets up to that stage.

10. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the substantive laws of India. Any legal dispute or claim arising out of this Agreement shall be subject to the exclusive jurisdiction of the competent courts in Panipat, Haryana, India.
